These Terms of Service ("Terms") govern your access to and use of the VelaSleep mobile application, websites, content, features, subscriptions, and related services (collectively, the "Services") provided by MOBIUS ENTERTAINMENT PTE. LTD. ("VelaSleep," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS.

If you do not agree to these Terms, do not use the Services.

1. What VelaSleep Provides

VelaSleep is an AI sleep companion app designed to help users wind down, reflect, and play sleep-supportive audio experiences.

The Services may include:

  • AI-powered text or voice conversations with Vela, our AI sleep companion;
  • sleep-supportive audio content, such as soundscapes, guided relaxation, sleep stories, or other audio experiences;
  • personalization based on your interactions and preferences;
  • account sync and conversation history;
  • subscription or premium features; and
  • related features, content, and support.

Vela is an artificial intelligence system, not a human being. When you interact with Vela, you are communicating with AI-generated responses, not a real person. VelaSleep is designed to provide a supportive sleep companion experience, not to replace human relationships, professional care, or emergency services.

VelaSleep is not a medical, mental health, diagnostic, therapeutic, emergency, or crisis service.


2. Who Can Use VelaSleep

You must be at least 18 years old to use VelaSleep.

By using the Services, you represent and warrant that:

  • you are at least 18 years of age;
  • you have the legal capacity to agree to these Terms;
  • you will use the Services only in compliance with these Terms and applicable law; and
  • any information you provide to us is accurate and up to date.

We do not knowingly allow anyone under 18 to use the Services. We may implement age verification or age assurance measures to enforce this requirement. If we have reason to believe that a user is under 18, we may require additional verification, suspend access, or delete the account and associated information in accordance with our Privacy Policy.

3. AI Sleep Companion Disclaimer

Vela is an AI sleep companion. Vela is not a human being, doctor, therapist, counselor, licensed coach, emergency responder, or crisis service.

You should understand the following about Vela and the Services:

  • AI-generated responses may be inaccurate, incomplete, inappropriate, delayed, or not suitable for your situation.
  • Vela may produce responses that sound confident but are factually wrong or contextually inappropriate.
  • Vela may generate responses that have emotional tone or content, but Vela does not experience emotions, form genuine relationships, or have awareness of your real-world circumstances beyond what you share in conversation.
  • You should not rely on VelaSleep or Vela's responses as professional advice or as a substitute for your own judgment.
  • VelaSleep does not guarantee that the Services will help you fall asleep, improve your sleep, reduce stress, improve health outcomes, or produce any particular result.
  • Interactions with Vela are not a substitute for human relationships, professional support, or in-person care.

4. Medical, Mental Health, and Emergency Disclaimer

VelaSleep does not provide medical advice, diagnosis, treatment, therapy, mental health counseling, clinical monitoring, emergency response, or crisis intervention.

Do not use the Services to seek or rely on medical, mental health, legal, financial, or other professional advice.

If you may harm yourself or others, or if you are experiencing a medical or mental health emergency, call your local emergency number immediately:

  • United States and Canada: Call or text 988 for the Suicide & Crisis Lifeline.
  • United States: Text HOME to 741741 to reach the Crisis Text Line.
  • Other countries: Contact your local emergency services.

Vela may provide supportive language or crisis resource information, but VelaSleep does not provide emergency services, real-time crisis monitoring, or professional care.


5. AI Safety Measures and Limitations

VelaSleep implements safety measures designed to promote a supportive experience. These measures may include:

  • protocols to detect expressions of self-harm, suicidal ideation, or crisis situations in conversations, and to respond with supportive language and crisis resource information;
  • content filtering to reduce the likelihood of harmful, inappropriate, or misleading AI output;
  • reminders that Vela is an AI and not a human being;
  • design features intended to support healthy usage patterns, including gradual fade-out mechanisms for sleep sessions; and
  • periodic review and improvement of safety systems.

These safety measures have significant limitations. They may not detect every expression of distress, may not respond appropriately in every situation, and are not a substitute for professional monitoring or emergency response. VelaSleep does not guarantee the effectiveness of any safety measure.

We may report safety-related information to applicable regulatory authorities as required by law.


6. Account Registration and Security

You may need to create an account to use certain features of the Services. You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your login credentials;
  • all activity that occurs under your account; and
  • promptly notifying us of any unauthorized access or suspected security issue.

You may not transfer, sell, share, or assign your account without our permission.

We may suspend or terminate your account if we believe that your account has been compromised, used in violation of these Terms, used fraudulently, or used in a way that may harm VelaSleep, other users, or third parties.


7. Subscriptions, Trials, Renewals, and Cancellations

Some features may require a paid subscription or purchase.

Subscriptions may be offered through Apple App Store, Google Play, Stripe, or another payment provider. Subscription terms, billing cycles, free trials, renewals, cancellations, and refunds may be governed by the platform or payment provider through which you purchased the subscription.

Unless cancelled before the end of the trial or current billing period, subscriptions may automatically renew and you may be charged according to the subscription terms presented at purchase.

Free trial notice: Where required by applicable law or platform rules, we or the applicable app store may provide a reminder before a free trial converts to a paid subscription. If you do not cancel before the trial ends, you may be charged for the subscription according to the terms presented at purchase.

Cancellation: You are responsible for managing and cancelling your subscription through the platform where you purchased it. The cancellation process is available through your app store account settings. Deleting your VelaSleep account does not automatically cancel an active subscription purchased through an app store or payment provider.

We may change subscription features, pricing, or availability in the future, subject to applicable law and platform rules.


8. User Content and Conversation Content

"User Content" means information, messages, prompts, voice transcripts, feedback, preferences, or other content you submit, upload, provide, or generate through the Services.

You retain any rights you have in your User Content. By using the Services, you grant VelaSleep a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, process, display, transmit, and create derived information from your User Content solely as necessary to:

  • provide, operate, and improve the Services;
  • generate AI responses;
  • provide conversation history and account sync;
  • personalize your experience;
  • maintain safety, security, and abuse prevention systems;
  • provide customer support; and
  • comply with law and enforce these Terms.

Our use of User Content is also subject to our Privacy Policy.

You are responsible for your User Content and for ensuring that you have the right to provide it to the Services.

You may request access to or deletion of your User Content as described in our Privacy Policy.


9. VelaSleep Content and Intellectual Property

The Services, including Vela, sleep-supportive audio content, scripts, soundscapes, stories, designs, software, interfaces, text, graphics, logos, trademarks, trade names, characters, animations, models, and all related intellectual property, are owned by VelaSleep or our licensors.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, extract, reproduce, publicly perform, publicly display, or create derivative works from the Services or VelaSleep Content except as expressly permitted by us in writing or by applicable law.

9.1 Open Source Components

The Services may include open source software components. The applicable open source licenses govern your use of those components and, to the extent they conflict with these Terms, the open source license terms will prevail with respect to those components. A list of open source components and their licenses is available upon request at support@mobiusplay.com.


10. Acceptable Use and Prohibited Conduct

You agree not to:

  • use the Services for any unlawful, harmful, fraudulent, deceptive, abusive, harassing, hateful, or exploitative purpose;
  • use the Services to generate, request, or distribute content that promotes self-harm, harm to others, violence, abuse, exploitation, or illegal activity;
  • use the Services as a substitute for emergency services, professional medical care, mental health care, or crisis support;
  • attempt to cause Vela to generate medical diagnoses, treatment plans, prescriptions, legal advice, financial advice, or other professional guidance;
  • attempt to circumvent, disable, or bypass Vela's safety filters, content guardrails, system prompts, or safety mechanisms through prompt injection, jailbreaking, or similar techniques;
  • systematically extract, test, or reverse engineer Vela's system prompts, model behavior, or safety configurations;
  • provide information that you do not have the right to provide;
  • infringe or violate intellectual property, privacy, publicity, or other rights of others;
  • interfere with, disrupt, overload, or compromise the Services or related systems;
  • bypass, disable, or interfere with safety, security, rate limit, or access controls;
  • reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models except where permitted by law;
  • scrape, harvest, crawl, or collect data from the Services without our permission;
  • use the Services or outputs to train, fine-tune, benchmark, or develop competing AI models or services without our written permission;
  • impersonate another person or entity;
  • share your account credentials or allow unauthorized access to your account; or
  • use the Services in violation of applicable law, platform rules, or these Terms.

We may remove content, limit access, suspend accounts, or take other action if we believe these Terms have been violated or if necessary to protect users, VelaSleep, or third parties.


11. AI Output

VelaSleep may generate text, audio, recommendations, reflections, or other responses based on your inputs and the operation of AI systems ("Output").

You should understand the following about Output:

  • Output may not be unique. Similar or identical Output may be generated for other users.
  • Output may be inaccurate, incomplete, or unsuitable for your circumstances.
  • Output may have emotional tone, but it does not reflect genuine emotions, opinions, or understanding on the part of Vela or VelaSleep.
  • Output may sound authoritative even when it is incorrect. You are responsible for evaluating Output before relying on it.
  • You may not use Output for medical, mental health, legal, financial, safety-critical, emergency, or other high-risk decisions.
  • You should not form emotional dependency on Vela or treat Output as a substitute for human relationships or professional support. VelaSleep is not responsible for emotional distress, reliance, or attachment arising from use of the Services.

To the extent permitted by applicable law, VelaSleep makes no claim that you own any particular rights in AI-generated Output beyond the rights necessary for your personal use of the Services.


12. Healthy Use and Emotional Dependency

VelaSleep is designed to support healthy sleep habits. The Services are not designed to foster emotional dependency, replace human relationships, or serve as a substitute for professional mental health support.

We encourage you to:

  • maintain and prioritize real-world relationships and support systems;
  • seek professional help if you are experiencing mental health challenges;
  • use the Services as one part of a healthy sleep routine, not as your primary source of emotional support; and
  • take breaks from the Services when needed.

The fade-out and session-ending features in the Services are designed to support healthy usage patterns.

If you believe your use of the Services is negatively affecting your well-being or relationships, we encourage you to reduce or discontinue use and to speak with a trusted person or professional.


13. Safety and Crisis Limitations

VelaSleep may include safety features designed to provide supportive language or resource suggestions when certain risk signals appear in conversations. These features are limited and may not detect every situation.

VelaSleep does not provide real-time human monitoring, emergency dispatch, clinical monitoring, or crisis intervention.

You are responsible for seeking appropriate professional or emergency help when needed.


14. Privacy

Our Privacy Policy explains how we collect, use, disclose, store, and protect personal information, including information processed by our AI language model providers, speech recognition providers, and voice generation providers. By using the Services, you acknowledge that our handling of personal information is described in the Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy about personal information processing, the Privacy Policy controls for that issue.


15. Third-Party Services and AI Providers

The Services may integrate with, link to, or rely on third-party services, platforms, devices, app stores, payment providers, authentication providers, AI language model providers, speech recognition and voice generation providers, analytics providers, or content providers.

Conversation data may be processed by third-party AI service providers to generate Vela's responses. These providers are subject to contractual obligations as described in our Privacy Policy, including requirements not to use your data for training their own AI models.

Your use of third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party services, content, policies, or practices.

15.1 Apple App Store Additional Terms

If you download or use the Services through the Apple App Store, the following additional terms apply:

  • These Terms are between you and VelaSleep, not Apple.
  • Apple is not responsible for the Services or their content.
  • Apple has no obligation to provide maintenance or support services for the Services.
  • To the extent any warranty applies and the Services fail to conform to that warranty, you may notify Apple, and Apple may refund the purchase price for the Services, if any, according to Apple’s policies. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Services.
  • Apple is not responsible for addressing any claims by you or any third party relating to the Services or your possession or use of the Services.
  • Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the Services.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as third-party beneficiaries.
  • Subscriptions, purchases, cancellations, and refunds made through Apple are also subject to Apple’s applicable terms and policies.

16. Service Changes, Availability, and Beta Features

We may modify, suspend, discontinue, or restrict access to any part of the Services at any time, subject to applicable law.

The Services may include experimental, alpha, beta, preview, or early-access features. These features may be unstable, incomplete, changed, or discontinued at any time.

We do not guarantee that the Services will be uninterrupted, secure, error-free, available at any particular time, or compatible with every device, operating system, or platform.


17. Account Termination

You may stop using the Services at any time. You may delete your account in the App where this feature is available.

We may suspend or terminate your access to the Services if:

  • you violate these Terms;
  • you create risk or possible legal exposure for us or others;
  • your account appears fraudulent, abusive, compromised, or unsafe;
  • we are required to do so by law or platform rules; or
  • we discontinue the Services.

Account deletion and data deletion are handled according to our Privacy Policy. Deleting your account does not automatically cancel an active subscription purchased through an app store or payment provider.


18. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

VELASLEEP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS;
  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE;
  • AI RESPONSES OR OUTPUT WILL BE ACCURATE, SAFE, APPROPRIATE, OR USEFUL;
  • SAFETY FEATURES WILL DETECT EVERY EXPRESSION OF DISTRESS OR PREVENT EVERY HARM;
  • SLEEP, STRESS, WELLNESS, OR HEALTH OUTCOMES WILL IMPROVE; OR
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.


19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VELASLEEP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, SLEEP, HEALTH, EMOTIONAL WELL-BEING, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO:

  • THE CONTENT, ACCURACY, OR EFFECTS OF AI-GENERATED OUTPUT;
  • EMOTIONAL DISTRESS, RELIANCE, ATTACHMENT, OR DEPENDENCY ARISING FROM INTERACTIONS WITH VELA;
  • ANY FAILURE OF SAFETY FEATURES TO DETECT OR RESPOND TO EXPRESSIONS OF DISTRESS;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY RELATED TO THE SERVICES; OR
  • ANY OTHER MATTER RELATING TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO VELASLEEP FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • USD $100.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.


20. Dispute Resolution and Governing Law

20.1 Informal Resolution First

Before filing any formal legal proceeding, you agree to first contact us at support@mobiusplay.com and attempt to resolve any dispute informally for at least thirty (30) days. Most disputes can be resolved this way.

20.2 Formal Proceedings

If a dispute cannot be resolved informally, either party may pursue available remedies in a court or other forum with jurisdiction, subject to applicable law and any mandatory consumer protection rights that cannot be waived.

These Terms and any disputes arising out of or related to the Services will be governed by applicable law, without limiting any mandatory rights you may have under the laws of your place of residence.

20.3 Limitation Period

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after the claim arose. Otherwise, the claim is permanently barred.


21. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless VelaSleep and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use or misuse of the Services;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your violation of any rights of another person or entity.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as through the App, by email, or by posting an updated version at least thirty (30) days before the changes take effect.

The "Last Updated" date at the top of these Terms indicates when they were most recently revised.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you should stop using the Services.


23. Regulatory Compliance

VelaSleep is committed to complying with applicable laws and regulations governing AI companion services. We may:

  • implement safety protocols as required by applicable state, federal, or international laws governing AI companion applications;
  • submit safety reports to regulatory authorities as required by applicable law;
  • modify the Services, safety features, or these Terms to comply with new legal requirements; and
  • cooperate with regulatory inquiries related to the Services.

24. Force Majeure

VelaSleep will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, power outages, internet or telecommunications failures, government actions, labor disputes, or third-party service disruptions.


25. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented to you for specific features, form the entire agreement between you and VelaSleep regarding the Services.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer these Terms without our permission. We may assign or transfer these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law, and will notify you of any such assignment.

Section headings are for convenience only and do not affect the interpretation of these Terms.
